1. Acceptance of Terms

By accessing or using WristWorth ("the Platform"), operated by Bala Enterprises LLC, you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.

2. Description of Service

WristWorth is a watch collection management and planning platform that allows users to track their watch collections, plan future acquisitions around life milestones, receive personalized recommendations, and optionally connect with authorized watch dealers. The Platform includes free and paid subscription tiers.

3. User Accounts

You must authenticate via Google OAuth to use the Platform. You are responsible for maintaining the security of your account. You must provide accurate information and are responsible for all activity under your account. You must be at least 18 years old to create an account.

4. WristWorth Score

The WristWorth Score is a proprietary metric calculated based on your platform activity and collection data. The Score is designed for informational and engagement purposes only. It is not a financial rating, credit score, or guarantee of any kind. The Score does not create any obligation on the part of dealers, partners, or WristWorth to provide services, pricing, or access based on your Score. WristWorth reserves the right to modify the scoring algorithm at any time without notice.

5. Dealer Connections (AD Concierge)

The AD Concierge feature connects users with authorized watch dealers. WristWorth facilitates introductions only and is not a party to any transaction between users and dealers. WristWorth does not guarantee dealer availability, pricing, inventory, or the quality of any dealer interaction. By opting in to dealer connections, you consent to sharing your profile information (including WristWorth Score, collection summary, milestone details, and contact information) with matched dealers.

6. Subscription Services

WristWorth Pro is a paid subscription providing access to premium features. Pricing is displayed at the time of purchase. Subscriptions renew automatically unless cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period. Refunds are provided only as required by applicable law.

7. User Content and Data

You retain ownership of all content you submit (collection data, milestone information, notes, images). By using the Platform, you grant WristWorth a non-exclusive, worldwide license to use, process, and display your content as necessary to operate the Platform and provide services, including sharing relevant data with dealers you have opted to connect with.

8. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose
• Attempt to reverse-engineer or extract the scoring algorithm
• Create false or misleading collection data to manipulate your Score
• Impersonate another person or entity
• Interfere with the operation of the Platform
• Scrape, harvest, or collect data from the Platform without authorization

9. Intellectual Property

The WristWorth platform, including the WristWorth Score algorithm, user interface, content, and branding, is protected by intellectual property laws. The milestone-to-dealer matching system is patent pending. You may not copy, modify, distribute, or create derivative works without written permission.

10. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. WristWorth does not warrant that the Platform will be uninterrupted, error-free, or that any data (including price tracking data) is accurate or current. Price data shown on the Platform is for informational purposes only and should not be relied upon for purchasing decisions.

11. Limitation of Liability

To the maximum extent permitted by law, WristWorth and its founders, officers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to any losses arising from dealer connections, transactions, or reliance on Platform data.

12. Indemnification

You agree to indemnify and hold harmless WristWorth and its founders, officers, and affiliates from any claims, damages, or expenses arising from your use of the Platform or violation of these Terms.

13. Modifications

WristWorth reserves the right to modify these Terms at any time. Material changes will be communicated via email or in-app notice. Continued use after changes constitutes acceptance.

14. Termination

WristWorth may suspend or terminate your account at any time for violation of these Terms. You may delete your account at any time by contacting us. Upon termination, your data will be deleted in accordance with our Privacy Policy.

15. Governing Law

These Terms are governed by the laws of the State of Kansas, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Johnson County, Kansas.
